概略
ライブチャットルームのライブチャットインターフェイスへのアクセスには、分単位の料金制およびユーザが自由意志で支払うボーナス料金が発生する。返金について－EXSHOTでは、金銭による返金は一切行っておりません。
使用条件と規約
１． サービス同意書の条件および運用規約
A. EXSHOTは、本同意書およびEXSHOTの運用規約の対象である登録利用者または認証ユーザ（以下「メンバー」または「貴殿」と呼ぶ）を対象に、インターネットを利用したライブチャットサービスを提供する。サービス同意書の条件および運用規約は共に拘束力のある契約であり、まとめて「TOS」と称される。TOSは、EXSHOTとメンバー間の完全な了解事項を含み、かつ過去の書面または口頭による明示的または黙示的な全ての了解事項に優先する。また、関連サービスまたは第三者のコンテンツ、ソフトウェア、サービスを使用した場合、このメンバーは、法的拘束力を持つ他の条件と規約の対象になるケースもある。
B. EXSHOTは、TOSの変更を行うことが出来るが、変更に際しては明確に見える手段を用いて、公共に対する事前通知を行わなければならない。メンバーは、TOSを定期的に確認し、こうした変更に常に注意を払うこと。変更内容を承認できない場合には、下記の「退会」または条項9に基づいて、退会することが出来る。こうした変更の有効日以降にEXSHOTを使用した場合、メンバーはTOSに対するこうした変更の全容を承認したものとみなされる。
２．アカウント情報
A. メンバーは本人が少なくとも18歳である（あるいはメンバーが居住する司法権において成人年齢に達している）ことを保証し、正確かつ完全な現住所情報を提供する。この責務を怠った場合、メンバーは、本同意書への違反ならびにEXSHOTへの不法アクセスを行ったものとみなされ、アカウントの即時取り消しおよび民事・刑事責任の追及を免れない。EXSHOTより事前に書面での許可を取得している場合を除き、こうしたアカウントの強制削除後にアカウントの登録を行うことは出来ない。
B. メンバーはその登録に際し、パスワードおよびスクリーン名/チャットのハンドリングネームを選択すること。本人が利用している場合を除き、すでに登録されているスクリーン名を使用することは出来ない。また、第三者の所有権の侵害またはEXSHOTが不適切または不快と感じる名前の使用も禁止する。すべてのスクリーン名はEXSHOTの所有であり、こうした名前はメンバーに対しライセンス供与されているに過ぎない。また、迷惑メールの送信や迷惑メールへの情報提供など、TOSの違反またはEXSHOTが不適切と感じるスクリーン名の使用・流用を禁止する。EXSHOTでは、こうしたスクリーン名の削除をすること、およびメンバーに削除を依頼することが出来る。
C. メンバーアカウントを利用したメンバーの活動は、すべてメンバーの責任とする。メンバーは、自分が監督している場合を除き、第三者に自らのアカウントを使用させてはならない。
D. EXSHOTのメンバーシップを強制削除されたメンバーは、EXSHOTからの書面（電子メールを含む）による許可がある場合を除き、EXSHOTにアクセスすることは出来ない。メンバーシップを強制削除された元メンバーやその他の人物に対し、メンバーは現在自分が持っているアカウントを使用させてはならない。再登録および複数アカウントの登録に関しては下記の条項9を参照のこと。
３．料金および請求
A. EXSHOTのメンバーになるには、ポイント購入料金をお支払いいただく 必要があります。この金額は、ライブチャットのポイント購入に当てられ、 このポイントを利用してライブチャットセッションをご利用いただくことが 出来ます。 このポイント購入料金は、ご購入の都度クレジットカードに請求されます。 なお、2004年3月3日以前にご入会頂いた会員様に付きましては、入会時にご 選択いただいたポイント購入料金は、お客様のクレジットカードに請求され、 メンバーシップがキャンセルされるまで、毎月自動課金されます。
B. EXSHOTでは２００８年１月１日より、EXSHOT会員の購入したポイントに有効期限を設定する。この有効期限の条件とは、最後のセッションへのログイン記録時間から２年、または２４ヶ月の間、０.１ポイント以上ポイントを消費していない場合、アカウントに残っている全てのポイントとポイントに付随しているマイレージポイントが無効となる。EXSHOTでは取消または無効となったポイントについて何らの補償も行わず、一切の責任を負わない。
C. EXSHOTがクレジットカード会社またはその代理店から、EXSHOTの利用料金を徴収できなかった場合、ユーザは、EXSHOTが要求する金額を全額 支払うことに同意する。ユーザ指定のクレジットカードへの課金承認は初回のみに止まらず、メンバーがEXSHOTにログインし、サービスを利用する度にそ の承認をしたものとみなされる。クレジットカード利用同意書は、EXSHOT使用における指定カードの使用を規定するものであり、カード所有者としての権 利および責任はこのTOSではなく、当該のクレジットカード利用同意書を参照すること。またEXSHOTでは、クレジットカード請求書作成期間中の利用金 額を累計し、請求書作成期間中あるいはその締め日に、その合計額を請求することが出来る。このため、銀行またはカード会社からの請求書に、累計利用金額が 表示される場合もあり、また、EXSHOTが累計利用金額を提出するまで、カード会社からの承認が遅延することもある。累計利用金額の詳細を知りたい場合 には

D. 請求書の日付から30日以内に請求額全額がEXSHOTに支払われない場合には、メンバーの請求書に一月当たり10％（または法律で指定の最高利息のいず れか大きい値）が加算され、またその金額に対する支払い義務がただちに発生する。EXSHOTが未払い金額の徴収に費やした弁護士費用および手数料はメン バーが支払わなければならない。EXSHOTを退会する場合またはアカウントが強制削除された場合、メンバーは未払いの利用料金全額を支払わなければなら ない。メンバーが請求書受け取りから30日以内に請求金額に関する申し立てをしない限り、請求書の内容がメンバーのカード利用目的に合致しているとみなさ れる（カード発行会社による問い合わせを含む）。請求書の日付から30日以内にEXSHOTに対し金額の相違・誤りの連絡がなかった場合、メンバーは EXSHOTに対しいかなる責任も追及することは出来ない。
E. EXSHOT は、EXSHOT 、関連会社またはICPS（下記に詳細を定義）により提供されたオンラインエリア、コンテンツ、サービスへの追加料金や付属料金を含む、あらゆる手数料お よび請求方法をいつでも変更することが出来る。またEXSHOTではその自由裁量の元、アカウント所持者に対してポップアップ広告、電子メールまたは一般 郵便でこうした変更告知を行うことが出来る。こうした手数料をメンバーが了承しない場合、メンバーは退会することが出来る（下記条項10参照）。こうした 変更の有効日以降にEXSHOTを使用したメンバーは、その内容を了承したものとみなされる。
F. EXSHOTへの接続に関する全費用はメンバー負担である。メンバーは電話料金、インターネットサービスプロバイダからのアクセス料金等を含むインター ネットアクセスに関連して発生する全ての手数料が100％メンバー自身の責任であることを理解・承諾する。メンバーの居住地および利用するインターネット サービスプロバイダにより、長距離電話料金またはその他通信追徴金が発生することがあるが、こうした料金も、全てメンバーの責任とする。累計利用金額の詳 細は

４．権利と責任
A コンテンツについて
メンバーは、(i) EXSHOTに情報、通信、ソフトウェア、写真、ビデオ、グラフィックス、音楽、音声その他マテリアルおよびサービス（総称して「コンテンツ」と呼ぶ）が含まれていること、(ii) こうした「コンテンツ」が独立系コンテンツプロバイダ（ICP）、他メンバー、およびその関連会社によるライセンスの元提供されていること、(iii) EXSHOTがこうした「コンテンツ」の選択、コーディネート、手配、拡張における著作権を有することを理解する。 各メンバーおよびメンバーアカウントを利用する個人は、「コンテンツ」の正確性、完全性または使用性に関連する危険性を判断し、またその危険について自ら責任を負わなければならない。EXSHOTの方針として、「コンテンツ」の事前選別は行わない。しかし、EXSHOT、その関連会社およびICPは、有害な「コンテンツ」または侮辱的あるいはTOS違反となる「コンテンツ」を削除することが出来る（しかし、こうしたコンテンツの削除に責任を負うものではない）。
B. 所有権
メンバーは、(i) EXSHOTによる「コンテンツ」へのアクセス許可は、著作権、登録商標、その他の知的所有権（総称して「権利」と呼ぶ）により保護されていること、(ii) こうした「権利」は現在および今後開発されるあらゆるメディアおよびテクノロジーにおいても、保護され有効とされること、(iii) 明確に定義されている場合を除き、メンバーによる「コンテンツ」の使用方法はTOSおよび該当する著作権その他の法規により管理されること（詳細は条項Dを参照のこと）を認識する。ソフトウェアファイルや掲示板等を利用して、EXSHOTで送信することが出来るのは、(1) いかなる「権利」をも侵さないもの、または (2)「権利」所有者が EXSHOTでの送信に関し明確な承認を与えたものに限定する。メンバーがEXSHOTにファイルをアップロードした場合には、こうしたアップロードを行う法的許可を得て行ったものとみなされる。メンバーは、システムおよびメンバーをウィルスから保護するため、EXSHOTによるウィルスチェック技術の配置に同意する。EXSHOTの公共エリア（掲示板、フォーラム、メンバー・ディレクトリなど）に「コンテンツ」を提供した場合、メンバーはEXSHOTおよびその関連会社に対し、当該コンテンツの使用、複製、修正、改作、パブリッシュ、翻訳、派生著作物の作成および/または、既存のまたは将来開発されるあらゆる形式、メディア、技術と「コンテンツ」とを組み合わせて利用する権利に関し、永久的で解約不可の非独占的権利（著作者人格権を含む）およびライセンスを使用料なしで利用することに同意したことになる。また、EXSHOTおよびその関連会社は、こうした権利が存続する限り、この非独占的権利およびライセンスを使用することが出来る。メンバーは、こうしたコンテンツにおける著作者人格権を含むあらゆる「権利」の保有者がこうした「権利」の全てをメンバーに譲渡したこと、また上記に示されたライセンスを与える権利が有効かつ絶対的にメンバーに与えられていることを保証する。また、メンバーは他のメンバーおよび承認済みユーザに対し、個人的使用を目的にこうした「コンテンツ」へのアクセス、表示、保存、複製を許可する。前述の内容に従い、EXSHOTの「コンテンツ」オーナーは、こうした「コンテンツ」内に存在する全ての権利を、EXSHOTに対し与える。
C. 利用および通信に関して メンバーは、未成年にふさわしくない内容がEXSHOTに含まれていること、EXSHOTにおける通信がリアルタイムであること、またその内容がEXSHOTの掲示板やチャットルームに表示されることを理解する。EXSHOTはTOSおよびその他の法律に対する正確性または適合性の確認を目的に事前に通信内容を審査することは出来ず、またその意図も持たない。しかしながら、EXSHOTはその自由裁量で、TOS の遵守を確認するため、EXSHOTのパブリックエリアを監視することが出来る。またメンバーは、EXSHOT、その関連会社またはICPがEXSHOTによる行動または行動を起こさないことに対して推論したり、その責任を追及することは出来ない。他のメンバーや個人、団体によるEXSHOTやその他サービスの快適利用を阻止する行動を取ったメンバーは、EXSHOTの自由裁量で、事前通知なしに即刻退会処分となる。メンバーは、EXSHOTを合法的な目的のためだけに使用することに同意し、直接・非直接を問わず、(1) 不法、有害、脅迫的、虐待的、嫌がらせ、抽象的、わいせつ、不愉快な内容、および人種差別的あるいは倫理的に好ましくない内容を掲示、送信、または助長すること、(2) 他のメンバーやEXSHOTのユーザまたはその他の個人や団体を中傷、脅迫したりすること、恥辱を与えること、またストレスを与えたり、不要な注目や不快感を与えること、(3) 獣姦、放尿、フィスティング、近親相姦、性的内容の極端なサド・マゾあるいはボンテージ、未成年による愛撫またはセックス、その他一般的にわいせつと考えられる内容のコンテンツを掲示、送信、助長すること、 (4) チャットルームでの円滑な活動を妨げること、または他のメンバー、ユーザ、個人、団体に対し悪影響を与えるような行為（他のメンバーやユーザがタイプできないように通常よりも速いスピードでスクリーンをスクロールするなどの破壊的行為など）をすること、(5) EXSHOT担当者やICP、フォーラムのリーダー、ガイド、ホストなど自分以外の個人、団体を騙ること、不正な氏名や自分が利用する権利・許可を得ていない氏名を利用して通信を行うこと、あるいは未成年者の振りをすること、(6) チェーンレター（幸福の手紙など）やねずみ講あるいはその原因となるものを掲示・送信すること、(7) 未承諾広告、宣伝、その他、他のメンバー、個人、および団体に対する勧誘事項を掲示・送信すること（メーリングリストから氏名の削除を行っていない旧メンバーに対してEXSHOT寄付者から送信されるイベント案内情報案内はこの限りではない）、または許可なく他のメンバーのスクリーン名を取得すること、 (8) メンバーからパスワード、アカウントその他個人の金融情報を入手する目的で通信・勧誘を行う内容を掲示・送信すること、またその原因となる行為、(9) 意図的・非意図的を問わず、当該の地域法、州法、国法、国際法および海外の法律やその法律施行に必要な法規・規定に違反する行為に、EXSHOTのアカウントを使用してはならない。上記以外の禁止利用事項の例に関しては、規約を参照すること。EXSHOTでは、不愉快な電子メール通信等からメンバーおよびEXSHOTを保護する権利を有し、迷惑メールを阻止することが出来る。メンバーは、EXSHOTで利用可能となった新製品に関し、こうした製品がTOSの管理対象であることを理解・承認する。また、ICP、EXSHOTとその関連会社、その他が提供する「コンテンツ」およびサービスが、独自の利用条件と規約の元に、「コンテンツ」やソフトウェアその他のサービスをメンバーに対し提供することもある。こうした利用条件や規約に対する違反は、退会処分となる場合もある。また、インターネットエリアなどを含む他のネットワークに関しては、各ネットワークの使用規約に従うこと。
５．プライバシー規約
A. はじめに
i. この項目には、EXSHOTの包括的プライバシー規約に関する重要な情報が記されている。メンバーのプライバシーを保護するのは、EXSHOTにとって非常に重要である。このため、EXSHOTではメンバーの個人情報を保護するプライバシー規約を設置し、その機密性を守るために全力を尽くす。EXSHOTは個人情報（下記にその内容を定義）の収集および使用を当社事業の運営に必要な範囲に限定し、その範囲で最高品質のサービスを提供する。EXSHOTは、召喚状による指令またはクレジットカードの請求確認のための銀行への個人情報への提供を除き、個人情報を非開示とする。EXSHOTでは、業界関係者およびコミュニティと協力し、インタラクティブ環境における強力かつ効率的なプライバシー規約のガイドライン設定および実施を積極的に行う。
ii. 個人情報の種類について－個人情報とは、EXSHOTのメンバーシップ、EXSHOTの使用状況、およびメンバー個人またはメンバーアカウントに関する全ての情報、データ、記録を指して言う。個人情報には(1) 名前や住所、電話番号、請求情報、アカウントと関連するスクリーン名などの「個人確認・請求情報」、(2) EXSHOTにの利用状況や購入情報などの「利用・購入情報」、(3) 電子メールの内容またはプライベートチャットルームの通信に関する「個人通信情報」の3種類がある。
B. メンバーの身分証明および請求情報
i. 情報の収集と保存－メンバーの身分証明および請求情報に関して、EXSHOTではメンバーの氏名、住所、電話番号、メンバーシップ保有期間、支払い情報、およびEXSHOTのカスタマーサービスやチャットホストとの通信内容、一般的なアカウントの履歴情報（累積利用金額、アカウントに関する問い合わせ）に関する情報を保持する。EXSHOTでは、不法アクセスから個人情報を保護する。このため、メンバーの個人情報を見ることが出来るのは、合法的な事業運営のために、当該情報へのアクセスを許可された一部の従業員または代理人に限定される。EXSHOTのプライバシー規約に違反した従業員は解雇を含む懲戒処分の対象となる。EXSHOTでは、利用する代理業者に対して厳しい守秘義務に関するガイドラインを設置し、ストレージやプロセッシングその他一部の限られた機能に関してのみ、作業を依頼する。
ii. 情報の使用について－EXSHOTでは、当社業務の運用のためにのみ、決済フォーム登録書を基に、サイトに関する情報（プロモーションなど）についての案内メールの提供を約束する。また配信停止の申し込みも可能とする。
iii. 情報開示－EXSHOTでは、メンバーの電話番号、クレジットカード番号、銀行口座番号（または利用情報、購入情報、または個人の通信内容の情報等を含む他の個人情報など）を非開示とする。EXSHOTの規約では、召喚状等、EXSHOTに対して法律または法的手段で要求された場合を除き、メンバーのスクリーン名と実名に関係する情報を公開することはない。EXSHOTでは爆弾予告、自殺予告、その他非合法活動などの非常事態が発生した場合、その自由裁量により、ケースバイケースで、この規約に例外を設置する権利を有する。可能な場合、EXSHOTではメンバーによる自身の身分証明・請求書へのアクセスおよび内容確認を許可すると共に、修正要請があった場合にはそれに応える。EXSHOTは当該法規にのっとり、個人情報その他の記録を政府関係団体に開示することがある。一般市民または団体に対し、個人情報開示の法的責任が発生した場合には、この開示の影響を受けるメンバーに対し事前に情報開示の事実を知らせ、メンバーが適当な法的手段に訴える機会を与えるものとする。
iv. 強制責任－EXSHOTはメンバーの情報またはメンバーの通信内容を非開示とすることを基本的措置としている。しかし、(a) 法律遵守、(b) 法的手段への準拠、(c) 本利用規約および条件の遵守、(d) 第三者の権利を侵害するコンテンツに関する指摘・苦情への対応、または(e) EXSHOTおよびその他の利益保護を目的に、信義誠実の原則に基づいて情報開示の必要に迫られた場合、情報を開示することがある。
C. 利用・購入情報
i. 情報の収集－EXSHOTでは、メンバーの利用サービスならびに利用回数、利用方法などメンバーの利用・購入情報を収集・保存することが出来る。
ii. 情報の使用について－EXSHOTでは、EXSHOTに関する情報の個人化、プログラミング、編集リサーチ等の目的で利用・購入情報を使用する。たとえば、EXSHOTを介して提供されたメニューアイテムやコンテンツ、サービスに対するメンバーの反応を理解するため、またメンバーの利益を考慮してEXSHOTをカスタマイズするために、こうした情報を利用する。
iii. 情報開示－EXSHOTは、EXSHOTに対して法律または法的手段で要求された場合（捜査令状、裁判所命令、犯罪捜査に関する当局への協力等）を除き、第三者に対して利用・購入情報（メンバーによるEXSHOTの閲覧情報など）を非開示とする。
D. 個人通信情報
i. 情報の収集と保存－EXSHOTのコンピュータシステムは、チャットルームにおける通信内容の全てを記録・保存することはしない。しかしメンバーはいかなる通信の記録をも、自分のパソコンのハードドライブに保存または印刷して保存すること。またメンバーは、ウィルスからシステムやメンバーを保護するため、EXSHOTが電子メールのウィルスチェック技術を使用することに同意する。
ii. 情報の使用について－EXSHOTはEXSHOTにおける個人通信の内容に関し、高い守秘性を維持する。下記に記されたような一定の状況を除き、EXSHOTでは個人通信へのアクセス、使用、その開示を行うことはない。メンバーは、EXSHOTを含む個人または団体に宛てられた個人通信が、プライバシーおよび守秘性の制限なく受取人によって使用・開示される可能性があることを理解しなければならない。
iii. 情報開示－EXSHOT は個人通信（電子メール、メンバーが作成したプライベートルーム、オンライン通信等）のコンテンツへのアクセスおよびその開示を行わない。しかし、信義誠実の原則に基づいて (1) 法律遵守、(2) EXSHOTの権利および所有物の保護、(3) EXSHOTがその物理的安全性が危険にさらされていると判断した緊急事態等、情報開示の必要に迫られた場合、それを行うことがある。EXSHOTは、ディレクトリやルーム名が公開されているチャットまたは周知および一般による使用が可能になっている公のチャットルームを、公開可能情報として取り扱う権利を有する。
６．EXSHOT ソフトウェアライセンス－EXSHOTは、本同意書に従って認証された場所から、EXSHOTソフト（メンバーがEXSHOT宛にメンバーの動画信号を送信するもの）を使用することに関し、非独占的な制限付ライセンスを供与する。法律で明記されている場合を除き、メンバーはEXSHOT ソフトウェアの翻訳、リバースエンジニアリング、リバースコンパイル、デコンパイル、分解、派生品の作成をしてはならない。またEXSHOT ソフトウェアを修正したり、規約で認証されていない方法で使用してはならない。メンバーは、EXSHOTにおける各種技術が、全てのプラットフォームで同じように利用できない事実を理解・承認すること（例マッキントッシュなど）。
７．保証－メンバーは、100％メンバーの責任の元にEXSHOTおよびEXSHOT ソフトウェアの使用が行われることを、ここにはっきりと認める。EXSHOT、EXSHOT ソフトウェア、およびEXSHOT 製品は、メンバーの個人的使用を目的に「現状」および「限定供給」の形で提供されるものであり、法的な除外措置がある場合を除いては、いかなる保証の対象でもない。EXSHOTは事業運営における道理的理念を元にそのサービスを提供し、メンバーが選択した時間または場所でのサービスへのアクセス、またサービス全体および一部の製品に関し、十分な需要能力を提供する。メンバーのEXSHOT、EXSHOT ソフトウェア、インターネット使用に対する、EXSHOTの全責任およびその独占的救済の範囲は、不具合のあったEXSHOT ソフトウェアの交換に止まる。州または法的管轄地によっては、間接的・付随的損害に対する責任の免責・制限事項が存在しないため、こうした州または法的管轄地でのEXSHOTの責任は、法律で定められた範囲とする。EXSHOTは、EXSHOTを介して提供されたいかなる製品またはサービスに関しても、他における明確な提示がない限りいかなる保証や承認も行わず、またメンバーとサービスまたは製品の提供者である第三者間のやり取りについて関与したり、その内容を監視することは一切しない。
８．免責－メンバーはEXSHOTおよびその関連会社、従業員、契約業者、幹部職員、取締役、テレコミュニケーション・プロバイダー、ICPをあらゆる責任、苦情、費用から免責することに合意する（EXSHOTおよびインターネット、またはメンバーアカウントを介したコンテンツの送信およびそれに関連するTOSの利用違反により発生する弁護士費用を含む）。EXSHOTは、免責事項に関する案件に関し、自費で自らを守る権利を有する。
９．退会
A. メンバーおよびEXSHOTのいずれも、メンバーシップの取り消しを随時行うことが出来る。(1) EXSHOTの運用に関するEXSHOTのTOS規約、条件、実施内容、(2) EXSHOTで提供されるコンテンツやその変更、(3) 手数料、課徴金、請求方法、請求内容等に対し不満がある場合、メンバーは独断でメンバーシップを取り消すことが出来る。退会を希望する際は、EXSHOTのカスタマーサービスの電子メールにて正当な方法で、その旨を通達すること。（http://exshot.com/contact.html）
速やかな退会手続きのためには、EXSHOTのアカウント開設時に利用したスクリーン名、クレジットカード番号の提供が求められる。EXSHOTがこうした情報を受け取った時点で、メンバーは直ちに退会扱いとなる。
B. 退会またはメンバーシップの強制削除処分を受けた場合にも、返金は一切されない（手数料の返金もない）。また、オンライン使用時間の相殺やクレジットカードへの返金、購入ポイント現金への変換等、いかなる形態での返金も行われない。EXSHOTのメンバーは、旧メンバー、またはそのアカウントが強制削除された個人に対して、自分のアカウントを使用させてはならない。支払い滞納または未払いのアカウントを持つ場合、またはカスタマーサービスやEXSHOTの関連部署と未解決の問題がある場合、まずこうした問題を解決しなければ、EXSHOTへの再登録は許可されない。EXSHOTから事前に書面による明確な了承を得ることなく複数口座を開設したメンバーは、退会処分の対象となる。
１０．法律
A. 本同意書と規約の記載に相違があった場合には、本同意書の内容が優先される。TOSまたはその一部が無効あるいは強制不能とみなされた場合には、その内容は当事者が元来意図した内容に出来るだけ近い状況を反映する該当法に順ずるものとし、また問題があった部分以外のTOSは、全て有効とする。TOSおよびメンバーシップに関しては、カリフォルニア州法の管理下となる。前述したように、メンバーの行動は該当する地域法、州法、国法の管理の対象となる。メンバーは、いかなる苦情・紛争に関しても、その専属管轄権がカリフォルニア州法の法廷にあること、また、EXSHOTに関する苦情・紛争に関し、カリフォルニア州法の人的裁判管轄権が実施されることに同意する。
B. メンバーは、アメリカおよびその他の当該輸出管理法に従い、電子転送その他のいかんを問わず、政府からの承認を取得、またその内容に準拠することなしに、こうした法律で禁止されている国へのコンテンツまたはソフトウェア送信、および制限事項とされているコンテンツまたはソフトウェアの送信をしてはならない。また、政府組織からの事前の書面許可を得ることなしに、データまたはソフトウェアをEXSHOTにアップロードすることを禁止する（暗号用ソフトも含む）。この保証内容に関しては、本同意書が終了するまで、有効とする。輸出管理法では、また、キューバ、イラン、イラク、リビア、北朝鮮、スーダン、シリアからのEXSHOTコンテンツへのアクセスを禁止している。

TERMS OF SERVICE AGREEMENT AND OPERATING RULES
A. EXSHOT provides its Internet live video chat service to you as a registered subscriber or authorized user ("Member" or "you"), subject to the terms of this agreement and EXSHOT’s operating rules. Both of these documents are binding agreements and we shall refer to them collectively as "TOS". The TOS comprises the entire agreement between EXSHOT and you, superseding any prior agreements between you and EXSHOT with respect to its subject matter. Additionally, you may be subject to additional terms and conditions that may apply when you use affiliate services, or third-party content, software, or services.
B. EXSHOT may change the TOS at any time, subject to timely notice, posted publicly in a visible manner. You agree to review the TOS periodically to be aware of such changes. If any change is unacceptable to you, you may terminate your membership as provided in "Cancellation" below, or in Section 9 below. Your continued use of EXSHOT following the Effective Date of any such change to the TOS constitutes acceptance of all such changes.
YOUR ACCOUNT INFORMATION
A. You certify that YOU ARE AT LEAST EIGHTEEN (18) YEARS OLD (or age of legal majority in the jurisdiction in which you reside). You agree to provide EXSHOT with accurate, complete, and current registration information. Failure to do this shall constitute a breach of this agreement and unauthorized access to EXSHOT. Unauthorized access to EXSHOT could result in immediate termination of your account and subject you to civil and criminal liability. Unless you have prior written authorization from EXSHOT, you may not register for additional accounts after such termination.
B. Upon registering as a Member, you will choose a password and a screen name/chat handle. You may not select or use a screen name of another person (unless it is also your name), a name in violation of a third party's property rights, or a screen name that EXSHOT deems offensive or otherwise inappropriate. EXSHOT owns all screen names and licenses them to you. Additionally, you may not use your screen name in violation of the TOS or in ways EXSHOT deems inappropriate (e.g., sending or causing to be sent mass e-mail solicitations). EXSHOT reserves the right to delete any such screen name or to request deletion.
C. You are entirely liable for all activities conducted through your account. A Member may not permit another individual to use the Members account without direct supervision by the Member.
D. Members who have had their EXSHOT membership terminated may not access EXSHOT without EXSHOT's prior express written (including e-mail) permission. Members may not allow a former Member or other agent whose membership has been terminated to use their account. For additional information on re-registration and multiple accounts, see Section 9 below.
E. Cancellation: Members may cancel their account at any time by contacting EXSHOT through an email request to the following address: http://enmember-form.exshot.com/form.html To ensure prompt and effective cancellation, please provide your EXSHOT screen name and your credit-card number used to establish your account.
CHARGES AND BILLING PRACTICES
A. In order to become a member of EXSHOT, you will be required to purchase the points, which amount shall be applied toward the purchase of video chat points which are used for video chat sessions. The amount selected upon joining will be billed to your credit card on a recurring monthly basis until cancellation of membership. You are free to purchase additional video chat points.
B. As of January 1 2008, EXSHOT will set an expiration date on points purchased. The points affected by this change shall include those purchased by EXSHOT members.
Purchased points, together with their accompanying mileage points, will expire if from the time of your last recorded login, you do not use at least 0.1 point with a period of 2 years (or 24 months) EXSHOT shall not be liable or in any way responsible for any expired or cancelled points.
C. If EXSHOT does not receive payment from the credit card issuer or its agents for your usage of EXSHOT, you agree to pay all amounts due upon demand by EXSHOT. Each time you use EXSHOT you agree and reaffirm that EXSHOT is authorized to charge your designated card. Your card issuer agreement governs your use of your designated card in connection with EXSHOT, and you must refer to that agreement and not this TOS with respect to your rights and liabilities as a cardholder. You agree that EXSHOT may, at its option, accumulate charges incurred during your billing cycle and submit them as one or more aggregate charges during or at the end of each cycle. This means that accumulated charges may appear on the statement you receive from your bank or card issuer. Further, you agree that EXSHOT may delay obtaining authorization from your card issuer until submission of the accumulated charges. You acknowledge that if you want to see the components of accumulated charges you may do so emailing http://enmember-form.exshot.com/form.html.
D. If EXSHOT does not receive the full amount of your EXSHOT account balance within thirty (30) days of the invoice date, an additional 10% (or the highest amount allowed by law, whichever is lower) per month late charge may be added to your bill and immediately become due and payable. Member shall be liable for all attorney and collection fees arising from EXSHOT's efforts to collect any unpaid balance of your account(s). You agree to be billed for and to pay any outstanding balance in the event of cancellation or termination of your EXSHOT account. Unless you notify EXSHOT of any discrepancies within thirty (30) days after they first appear on your account statement, they will be deemed acceptable by you for all purposes, including resolution of inquiries made by your card issuer. You release EXSHOT from all liabilities and claims of loss resulting from any error or discrepancy that is not reported to EXSHOT within thirty (30) days of its publication.
E. EXSHOT RESERVES THE RIGHT, AT ANY TIME, TO CHANGE ITS FEES AND BILLING METHODS, INCLUDING THE ADDITION OF SUPPLEMENTAL FEES OR SEPARATE CHARGES FOR ONLINE AREAS, CONTENT, OR SERVICES PROVIDED BY EXSHOT, ITS AFFILIATES OR ICPS (AS DEFINED BELOW). EXSHOT MAY ALSO ELECT, AT ITS DISCRETION, TO SUPPLEMENT SUCH NOTICE OF BILLING CHARGES THROUGH POP-UPS, E-MAIL, OR THROUGH THE POSTAL SERVICE TO THE ACCOUNT HOLDER. If any such change is unacceptable to you, you may terminate your membership as provided in Section 10 below. Your continued use of EXSHOT following the effective date shall constitute your acceptance of such change.
F. You are responsible for all charges associated with connecting to EXSHOT. You agree that any charges incurred to access the Internet, including but not necessarily limited to telephone charges and access fees billed by your Internet Service Provider, are entirely your responsibility. Depending on your particular location and chosen Internet Service Provider, you may be subject to long distance charges and/or other communication surcharges, which are your responsibility. You acknowledge that if you want to see the detailed components of accumulated charges, you may do so by sending form to http://enmember-form.exshot.com/form.html.
RIGHTS AND RESPONSIBILITIES
A. CONTENT.
You acknowledge that: (i) EXSHOT contains information, communications, software, photos, videos, graphics, music, sounds, and other material and services (collectively "Content"); (ii) Such Content is provided under license by Independent Providers of Content ("ICPs"), other Members, EXSHOT and its affiliates; and (iii) At minimum, EXSHOT owns a copyright in the selection, coordination, arrangement, and enhancement of such Content. Each Member and any user of Members account must evaluate, and bear the risk associated with any reliance on the accuracy, completeness or usefulness of any Content. EXSHOT does not pre-screen Content as a matter of policy: however EXSHOT, its affiliates, and ICPs shall have the right, but not the responsibility, to remove Content that they deem harmful, offensive or otherwise in violation of the TOS. Accordingly, you acknowledge that neither EXSHOT, its affiliates, nor any ICP shall assume or have any liability for any action or inaction by EXSHOT or its affiliates, or any ICP, with respect to Content, or Content changes within, EXSHOT.
B. PROPRIETARY RIGHTS.
You acknowledge the following: (i) EXSHOT permits access to Content that is protected by copyrights, trademarks, and other intellectual and proprietary rights ("Rights"); (ii) These Rights are valid and protected in all media and technologies existing now or later developed; and (iii) Except as explicitly provided otherwise, the TOS, applicable copyright and other laws govern your use of Content (see the Rules, Section D, for details). You agree that you may upload to the software files, message boards, or otherwise transmit on or through EXSHOT only Content that (1) is not subject to any Rights, or (2) any holder of Rights has given express authorization for distribution on EXSHOT. You represent that if you upload any files, you have the legal authorization to do so. You agree that EXSHOT may employ virus-checking technology to protect its system and its members from viruses. By submitting Content to any "public area" of EXSHOT (e.g., message boards, forums, the Member Directory), you grant EXSHOT and its affiliates the royalty-free, perpetual, irrevocable, non-exclusive right (including any moral rights) and license to use, reproduce, modify, adapt, publish, translate, create derivative works from, distribute, communicate to the public, perform and display the Content (in whole or in part) worldwide and/or to incorporate it in other works in any form, media or technology now known or later developed, for the full term of any rights that may exist in such Content. You also warrant that the holder of any Rights, including moral rights in such Content, has completely and effectively waived all such Rights and validly and irrevocably granted to you the right to grant the license stated above. You also permit any Member and authorized user to access, display, view, store and reproduce the Content for personal use. Subject to the foregoing, the owner of Content placed on EXSHOT retains any and all Rights that may exist in such Content.
C. CONDUCT AND COMMUNICATION. You acknowledge that EXSHOT may contain material that may be inappropriate for minors. You recognize that communication over EXSHOT often occurs in real time or is posted on one of EXSHOT's message boards or chatrooms. You acknowledge that EXSHOT cannot, and does not intend to, screen communication in advance for accuracy or conformance to the TOS or any laws. However, EXSHOT may elect, at its sole discretion, to monitor some, all, or none of EXSHOT’s public areas for adherence to the TOS. Accordingly, you acknowledge that neither EXSHOT, its affiliates, nor any ICP shall assume or have any liability for any action or inaction by EXSHOT, its affiliates, or any ICP with respect to Content on EXSHOT. Any conduct by a Member that in EXSHOT's sole discretion restricts or inhibits any other Member, person or entity from using or enjoying EXSHOT or another service shall entitle EXSHOT to immediately terminate membership without notice. You agree to use EXSHOT only for lawful purposes. You may not use, or allow others to use, your EXSHOT account, either directly or indirectly, to: (1) post, transmit, or promote any unlawful, harmful, threatening, abusive, harassing, defamatory, obscene, hateful, racially, ethnically or otherwise objectionable Content; (2) harass, threaten, embarrass, or cause distress, unwanted attention or discomfort upon another Member or user of EXSHOT or other person or entity; (3) post, transmit, promote, link, or facilitate the distribution of content that may generally be considered obscene, including, but not necessarily limited to, bestiality, urination/defecation, fisting, incest, extreme sado-masochism or bondage presented in a sexual context, or any presentation of minors engaged in intimate physical contact or sexual situations, acted or depicted. (4) disrupt the normal flow of dialogue in a chatroom or on a message board or otherwise act in a manner that negatively affects other Members, users, individuals or entities, such as causing the screen to "scroll" faster than other Members or users are able to type to it or any action to a similar disruptive effect; (5) impersonate any person or entity, including, but not limited to, an EXSHOT official, an ICP, forum leader, guide or host, or communicate under a false name or a name that you are not entitled or authorized to use, or impersonate a minor; (6) post or transmit, or cause to be posted or transmitted, chain letters or pyramid schemes; (7) post or transmit, or cause to be posted or transmitted, any unsolicited advertising, promotional materials, or other forms of solicitation to other Members, individuals or entities (although Contributors may use the EXSHOT E-mail System to advertise current or upcoming sessions to their previous viewers who have not requested to be removed from their mailing lists), or collect or harvest screen names of other Members, without permission; (8) post or transmit, or cause to be posted or transmitted, any communication or solicitation designed or intended to obtain password, account, or private financial information from any Member; (9) intentionally or unintentionally violate any applicable local, state, national, international or foreign law, including, but not limited to, any rules or regulations having the force of law. Please see the Rules for additional examples of prohibited conduct. EXSHOT reserves the right to protect its Members and EXSHOT from offensive e-mail communication, including, but not limited to, the right to block mass e-mail solicitations, or "junk e-mail." You also agree and accept that as new products become available on or through EXSHOT, your use of these products is subject to TOS. In addition to Content and services provided by ICPs, EXSHOT, and its affiliates, others may offer Content, software or other services to Members with their own terms and conditions relating to your use. Failure to abide by these terms and conditions may result in termination of membership. Furthermore, other such networks, including Internet areas, may subject Members to their own usage policies.
PRIVACY POLICY
A. INTRODUCTION
i. General. The following presents important information relating to EXSHOT' comprehensive Privacy Policy. Because protecting your privacy is very important to EXSHOT, we have established a privacy policy that safeguards your personal information, and are committed to protecting its confidentiality. We will limit the collection and use of personal information, or Individual Information (as defined below), to what is necessary to administer our business, provide you with the highest quality service, and offer you opportunities we think will be of interest. We will NOT disclose any Individual Information, unless by order of subpoena, or if the disclosure of Individual Information to your credit-card bank may help us prove the legitimacy of your credit-card charge or bill. We actively participate in industry associations and community groups to support strong and effective privacy guidelines and practices in the interactive environment.
ii. Types of Individual Information. Individual Information is any information, data or records that relate to your EXSHOT membership or use of EXSHOT and identifies you or your individual Member account. The three types of Individual Information are; (1) "identity and billing information," such as your name, street address, telephone number, billing information, and any screen names associated with your account; (2) "navigational and transactional information," such as information about where you go or what you buy through EXSHOT; (3) "private communications," such as the contents of e-mail, or private chat room communications.
B. MEMBER IDENTITY AND BILLING INFORMATION.
i. Collection and Storage. We may maintain the following types of identity and billing information: your name, street address, telephone number(s), length of membership, and payment information. We may also keep information on your communications with our Customer Service department and chathosts, and general account history, such as accumulated usage credits or written complaints relating to your account. We safeguard Individual Information from unauthorized access and only authorized employees or agents who need to carry out legitimate business functions are permitted access to Members Individual Information. Employees who violate EXSHOT’s privacy policies are subject to disciplinary actions, including termination when appropriate. We may use agents, who are bound by strict confidentiality guidelines, to perform storage, processing, and other limited functions on EXSHOT’s behalf.
ii. Use. We use identity and billing information to administer our business, ensure that you are properly billed and offer you opportunities (e.g. pop-ups or e-mail) that may be of interest.
iii. Disclosure. We do not release Members telephone numbers, credit card numbers, or checking account numbers (or other Individual Information, such as navigational or transactional information or private communications content). Our policy is not to disclose identity information to third parties that would link a Members screen name(s) with a Members actual name, unless required to do so by law or legal process served on EXSHOT (e.g. a subpoena). EXSHOT, at its sole discretion, reserves the right to make exceptions to this policy in extraordinary circumstances (such as a bomb or suicide threat, or instances of suspected illegal activity) on a case-by-case basis. When feasible, we do allow our Members to access and verify their Member Identity and Billing Information. We also allow our Members to request corrections to this Information. EXSHOT intends to abide by applicable laws governing the disclosure to governmental entities of Individual Information and other records. If we are under a legal obligation to disclose Individual Information to a private citizen or entity, we may make efforts under the circumstances to notify the affected Member(s) in advance of releasing it in order to provide the Member(s) an opportunity to pursue any available legal protection.
iv. Compelling Obligation. Although EXSHOT will take reasonable measures not to disclose information about you or the contents of your communications, we may be compelled to do so in the good faith belief that such action is reasonably necessary (a) to comply with the law; (b) to comply with legal process; (c) to enforce these terms and conditions; (d) to respond to claims that any content violates the rights of third parties; or (e) to protect the interests of EXSHOT or others.
C. NAVIGATIONAL AND TRANSACTIONAL INFORMATION.
i. Collection. We may collect and store certain navigational and transactional information, such as data on the choices you make from the range of available services, and the times and ways you use EXSHOT.
ii. Use. EXSHOT uses navigational and transactional information to personalize EXSHOT and for programming and editorial research. For example, we may use this information to understand our Members reactions to menu items, Content, and services offered through EXSHOT and to customize EXSHOT based on our Members interests.
iii. Disclosure. EXSHOT will not disclose to third parties navigational or transactional information (e.g. what you view through EXSHOT), except to comply with applicable law or valid legal process (e.g. search warrant, court order, or providing assistance to law-enforcement authorities investigating the alleged commission of a crime).
D. PRIVATE COMMUNICATIONS
i. Collection and Storage. The EXSHOT computer system does record and retain all chat room communications. However, to keep copies of any communications, you should store them on your personal computer hard drive or in print form. You agree that EXSHOT may employ e-mail virus-checking technology to protect its system and its members from viruses.
ii. Use. EXSHOT treats private communications on or through EXSHOT as strictly confidential. EXSHOT does not access, use or disclose the contents of private communications, except in limited circumstances as specifically provided below. You acknowledge that private communications directed at a person or entity, including EXSHOT, may be used or disclosed by the intended recipient(s) without restrictions relating to privacy or confidentiality.
iii. Disclosure. EXSHOT does not access or disclose the contents of private communications (e.g. e-mail, Member-created private rooms, online communications), unless it in good faith believes that such action is necessary (1) to comply with applicable law or valid legal process (e.g. search warrant or court order); (2) to protect the rights or property of EXSHOT; or (3) in emergencies when EXSHOT believes that physical safety is at risk. EXSHOT reserves the right to treat as public any private chat room whose directory or room name is published or becomes generally known or available.
EXSHOT SOFTWARE LICENSES. EXSHOT grants to you a non-exclusive, limited license to use EXSHOT software to transmit your personal video signal to EXSHOT from authorized locations in accordance with this agreement. This license is subject to the restriction that, except where expressly permitted by law, you may not translate, reverse-engineer or reverse-compile or decompile, disassemble or make derivative works from, EXSHOT software. You may not modify EXSHOT software or use it in any way not expressly authorized in these Rules. You agree and accept that EXSHOT’s introduction of various technologies may not be consistent across all platforms (e.g. Macintosh).
WARRANTY. MEMBER EXPRESSLY AGREES THAT THE USE OF EXSHOT AND EXSHOT SOFTWARE ARE AT MEMBERS’ SOLE RISK. EXSHOT, EXSHOT SOFTWARE, AND EXSHOT PRODUCTS ARE PROVIDED "AS IS" AND "AS AVAILABLE" FOR YOUR PERSONAL USE, WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, UNLESS SUCH WARRANTIES ARE LEGALLY INCAPABLE OF EXCLUSION. EXSHOT PROVIDES THE EXSHOT SERVICE ON A COMMERCIALLY REASONABLE BASIS AND DOES NOT GUARANTEE THAT MEMBERS WILL BE ABLE TO ACCESS THE SERVICE AT A TIME OR LOCATION OF THEIR CHOOSING, OR THAT IT WILL HAVE ADEQUATE CAPACITY FOR THE SERVICE AS A WHOLE OR FOR PARTICULAR PRODUCTS. EXSHOT’S ENTIRE LIABILITY AND YOUR EXCLUSIVE REMEDY WITH RESPECT TO USE OF EXSHOT, EXSHOT SOFTWARE, AND THE INTERNET SHALL BE THE REPLACEMENT OF ANY EXSHOT SOFTWARE FOUND TO BE DEFECTIVE. BECAUSE SOME STATES OR JURISDICTIONS DO NOT ALLOW THE EXCLUSION OR THE LIMITATION OF LIABILITY FOR CONSEQUENTIAL OR INCIDENTAL DAMAGES, IN SUCH STATES OR JURISDICTIONS, EXSHOT’S LIABILITY SHALL BE LIMITED TO THE EXTENT PERMITTED BY LAW. EXSHOT DOES NOT ENDORSE, WARRANT OR GUARANTEE ANY PRODUCT OR SERVICE OFFERED THROUGH EXSHOT, EXCEPT AS EXPRESSLY PROVIDED ELSEWHERE, AND WILL NOT BE A PARTY TO OR IN ANY WAY MONITOR ANY TRANSACTION BETWEEN YOU AND THIRD-PARTY PROVIDERS OF PRODUCTS OR SERVICES.
INDEMNIFICATION. Upon EXSHOT’s request, Member agrees to defend, indemnify and hold harmless EXSHOT, its affiliated companies, its employees, contractors, officers, directors, telecommunications providers, ICPs from all liabilities, claims and expenses, including attorneys fees, that arise from breach of the TOS by use of, or in connection with, the transmission of any Content on EXSHOT or the Internet by or through Members accounts. EXSHOT reserves the right, at its own expense, to assume the exclusive defense and control of any matter otherwise subject to indemnification by Member hereunder. In such event, Member shall have no further obligation to provide indemnification for such matter.
TERMINATION
A. Either you or EXSHOT may terminate your membership at any time. This is your sole right and remedy with respect to any dissatisfaction with EXSHOT, including, but not limited to, (1) any TOS term, policy or practice of EXSHOT in operating EXSHOT, (2) Content available through EXSHOT or change therein, or (3) any amount or type of fees, surcharges, billing methods, or change therein. You can terminate your membership by delivering notice to EXSHOT's Customer Service Department by any reasonable method, including following email address http://enmember-form.exshot.com/form.html. To ensure effective cancellation, please provide your EXSHOT screenname and the credit-card number used to establish your account. Your termination will take effect immediately upon EXSHOT's receipt of your adequate notice as described above.
B. In the event that your account is terminated or canceled, no refund, including any membership fees, will be granted; no online time or other credits will be credited to you or can be converted to cash or other form of reimbursement. Active EXSHOT Members may not allow former Members or other agents whose memberships have been terminated to use their accounts. Any delinquent or unpaid accounts or accounts with unresolved issues with the Customer Service department or other EXSHOT departments must be concluded before you may re-register with EXSHOT. Members using multiple accounts without prior express written permission from EXSHOT shall have their membership terminated.
LAW
A. To the extent any conflict between this agreement and the Rules exists, this agreement shall take precedence. If any part of the TOS is held invalid or unenforceable, that portion shall be construed consistent with applicable law to reflect, as nearly as possible, the original intentions of the parties, and the remaining portions remain in full force and effect. The laws of the State of California govern the TOS and your membership. As noted above, Member conduct may be subject to other local, state, and national laws. Member expressly agrees that exclusive jurisdiction for any claim or dispute resides in the courts of the State of California. Member further agrees and expressly consents to the exercise of personal jurisdiction in the State of California in connection with any dispute or claim involving EXSHOT.
B. You agree to abide by U.S. and other applicable export control laws and not to transfer, by electronic transmission or otherwise, any Content or software subject to restrictions under such laws to a national destination prohibited under such laws, without first obtaining, and then complying with, any requisite government authorization. You further agree not to upload to EXSHOT any data or software that cannot be exported without prior written government authorization, including, but not limited to, certain types of encryption software. This assurance and commitment shall survive termination of this agreement. Control laws also prohibit nationals of Cuba, Iran, Iraq, Libya, North Korea, Sudan and Syria from gaining access to certain Content on EXSHOT.
LEGAL NOTICES Under California Civil Code Section 1789.3, California Members are entitled to the following specific consumer rights information: (consumers residing in other states may also be entitled by statute to the following information) 1. Pricing Information EXSHOT reserves the right to change fees, surcharges, membership fees or to institute new fees at any time upon with prior written notice, as posted in highly-visible public areas of the EXSHOT website, as provided for in the Terms of Service at Section 3. 2.
